Terms of Service

1. Acceptance of Terms

By accessing or using Training Site Manager ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

These Terms apply to all visitors, users, and others who access or use the Service, including organizations ("Subscribers") and their authorized users ("Users").

2. Description of Service

Training Site Manager is a cloud-based software platform designed to help American Heart Association (AHA) Training Sites manage their operations, including but not limited to:

• Class scheduling and management
• Student registration and tracking
• Instructor management
• Card inventory tracking
• Financial reporting

We are not affiliated with, endorsed by, or officially connected to the American Heart Association. Our software is designed to work alongside AHA programs but is an independent third-party tool.

3. Account Registration

3.1 Account Creation

To use certain features of the Service, you must register for an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security of your password and accept all risks of unauthorized access
• Immediately notify us of any unauthorized use of your account

3.2 Account Responsibility

You are responsible for all activities that occur under your account. The Subscriber organization is responsible for ensuring all Users comply with these Terms.

4. Subscription and Payment

4.1 Free Trial

We offer a 14-day free trial for new Subscribers. No credit card is required during the trial period. At the end of the trial, you must subscribe to a paid plan to continue using the Service.

4.2 Subscription Plans

Paid subscriptions are billed monthly or annually, depending on the plan selected. Fees are non-refundable except as required by law or as explicitly stated in these Terms.

4.3 Payment

You agree to pay all fees associated with your subscription plan. We use third-party payment processors and do not store your complete payment information on our servers.

4.4 Price Changes

We reserve the right to modify our pricing with 30 days' notice. Price changes will take effect at your next billing cycle.

5. User Conduct

You agree not to:

• Use the Service for any illegal purpose or in violation of any laws
• Attempt to gain unauthorized access to any part of the Service
• Interfere with or disrupt the Service or servers
• Upload viruses or malicious code
• Share your account credentials with unauthorized parties
• Use the Service to store or transmit content that infringes on intellectual property rights
• Resell, sublicense, or transfer your rights to the Service without our written consent

6. Data and Privacy

6.1 Your Data

You retain all rights to the data you input into the Service ("Your Data"). By using the Service, you grant us a limited license to use Your Data solely to provide and improve the Service.

6.2 Data Security

We implement reasonable security measures to protect Your Data. However, no method of electronic storage is 100% secure, and we cannot guarantee absolute security.

6.3 Data Handling

7. Intellectual Property

The Service and its original content, features, and functionality are owned by Training Site Manager and are protected by international copyright, trademark, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent.

8. Termination

8.1 By You

You may cancel your subscription at any time through your account settings or by contacting us. Cancellation takes effect at the end of your current billing period.

8.2 By Us

We may terminate or suspend your account immediately, without prior notice, for conduct that we believe:

• Violates these Terms
• Is harmful to other users or third parties
• Is fraudulent or illegal

8.3 Effect of Termination

Upon termination, your right to use the Service will immediately cease. You may request an export of Your Data within 30 days of termination.

9. Disclaimers

We do not warrant that:

• The Service will be uninterrupted or error-free
• Defects will be corrected
• The Service is free of viruses or harmful components

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRAINING SITE MANAGER SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR OTHER INTANGIBLE LOSSES.

Our total liability for any claims arising from or related to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless Training Site Manager, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Service or violation of these Terms.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of significant changes by email or through the Service. Your continued use of the Service after such modifications constitutes acceptance of the updated Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, United States, without regard to its conflict of law provisions.

14. Dispute Resolution

Any disputes arising from these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
